NODWIN Gaming, a subsidiary of Nazara Technologies, has acquired Trinity Gaming in a deal valued at Rs 24 crore.

Following the acquisition, Trinity Gaming will operate as a fully owned subsidiary of NODWIN, enhancing its capabilities within the Indian gaming and content ecosystem.

The acquisition includes a combination of cash and stock, with Rs 4.8 crore paid in cash and Rs 19.2 crore through an equity share swap, expected to finalize within 60 days.

The founders of Trinity Gaming, Abhishek Aggarwal and Shivam Rao, will become shareholders of NODWIN and continue to lead the business after the acquisition.

Founded in 2019, Trinity Gaming is a significant player in India's gaming influencer ecosystem, managing over 1,000 creators.

Trinity is recognized as the only gaming Multi-Channel Network (MCN) for YouTube in India, with partnerships with major brands like Samsung and Krafton.

NODWIN Gaming plans to expand Trinity's operations into emerging markets, including Africa, Southeast Asia, Central Asia, and the Middle East.

Abhishek Aggarwal highlighted the potential for creating opportunities for content creators and enhancing brand connections within the gaming community.

Akshat Rathee, Co-Founder of NODWIN, expressed enthusiasm about the partnership and the growth potential it brings to the gaming ecosystem.

Shivam Rao noted that the synergy between NODWIN and Trinity is key to delivering innovative solutions in the gaming sector.

This acquisition strengthens NODWIN's talent management and agency capabilities, improving service to brand and publisher clients.

In the wake of the announcement, Nazara Technologies' stock fell by 1.76% to Rs 1,002.90 on the BSE.
